1. Who we are

MorrnIx is operated by Rahul Kumar, operating as MorrnIx (not yet incorporated), based in India.

MorrnIx provides software and related services for construction procurement, with a focus on monitoring supplier commitments, identifying procurement risk earlier, preserving procurement evidence, and helping construction teams make better-informed decisions.

2. What MorrnIx provides

MorrnIx provides construction procurement monitoring and decision-support software and related human support services. Depending on the service provided to you, MorrnIx may help your team organize procurement information, monitor material and supplier commitments, facilitate supplier follow-ups, identify changes or potential risks, and surface information that may require attention.

The Services are designed around an evidence-driven procurement workflow. They may use information from purchase orders, material requirements, required dates, supplier commitments, supplier communications, delivery information, and other procurement records made available to MorrnIx.

MorrnIx is designed to help construction teams identify procurement issues earlier and respond while more options may still be available. It does not replace your existing systems, construction management processes, suppliers, contractors, consultants, or project decision-makers.

MorrnIx does not provide an ERP, full procurement execution system, legal advice, engineering advice, financial advice, or professional construction management services unless expressly agreed otherwise in writing.

3. Procurement information and evidence

Customers may provide procurement, project, material, supplier, delivery, communication, and related operational information to MorrnIx in order to use the Services.

This information may include purchase-order details, material requirements, required dates, supplier commitments, expected delivery dates, revised dates, supplier responses, non-responses, status updates, project relationships, and procurement communications.

Where supported by the Services, MorrnIx may preserve or organize the relationship between an observation, commitment change, supplier response, alert, or other output and the information from which it was derived.

Customers remain responsible for ensuring that information supplied to MorrnIx is sufficiently accurate, complete, and current for the intended use, and that they have the necessary rights and permissions to provide it.

4. Procurement communications

Where a customer uses MorrnIx to facilitate, record, or organize supplier follow-ups and other procurement communications, the Services may process relevant business communications and associated information.

These communications may include delivery commitments, revised dates, manufacturing or production status, material availability, order status, transportation issues, explanations for delays, and other procurement-related information.

MorrnIx may structure, classify, summarize, or otherwise process communications where such functionality is implemented. The purpose is to organize relevant business information, preserve evidence, and support procurement monitoring and decision-making.

5. Alerts, risk signals, calculations, and decision support

MorrnIx may identify changes in supplier commitments, delivery information, procurement status, patterns, non-responses, or other signals that may indicate a procurement risk.

The Services may produce alerts, risk indicators, scores, calculations, classifications, summaries, recommendations, or other derived outputs from information available through the Services.

These outputs are decision-support information. They are intended to help your team investigate and respond to potential procurement issues earlier. They are not guarantees that a supplier will perform, that a material will arrive by a particular date, that a project will avoid delay, or that a particular action will produce a particular result.

Calculations and risk signals may depend on the quality, completeness, timing, and accuracy of available information and on the rules, thresholds, models, or other methods used by the relevant feature.

Customers remain responsible for evaluating important outputs against appropriate underlying evidence and for making their own procurement, scheduling, commercial, safety, engineering, and project decisions.

6. Service evolution and automated processing

MorrnIx may use rules-based systems, statistical techniques, artificial intelligence, machine learning, natural-language processing, or other computational methods where those capabilities are implemented.

The availability and behavior of automated features may change as the Services develop. Not every automated capability is necessarily available to every customer or at every time.

Automated processing is intended to support the Services and does not by itself transfer responsibility for procurement decisions from the customer to MorrnIx.

Where a feature involves automated extraction, classification, scoring, prediction, or recommendation, customers should review material outputs in accordance with their own internal controls and the importance of the decision involved.

7. Customer accounts and authority

MorrnIx services are intended for businesses and professional users involved in construction projects and procurement activities.

If you access MorrnIx on behalf of a company or organization, you represent that you have authority to use the service and to accept these Terms on its behalf.

You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account. You must provide information that is reasonably accurate and keep important account information up to date.

You must promptly notify MorrnIx of suspected unauthorized access or misuse.

8. Customer responsibilities

Customers are responsible for:

• ensuring they have the rights, permissions, and lawful basis necessary to provide information to MorrnIx;
• ensuring that users are appropriately authorized;
• configuring permissions and access controls appropriately;
• reviewing important procurement outputs before relying on them for material decisions;
• maintaining appropriate internal procurement, project, security, and approval processes;
• complying with laws and contractual obligations applicable to their business and use of the Services; and
• maintaining appropriate backups or independent records where required for their own operations.

MorrnIx provides technology and related services but does not assume the customer's independent legal, contractual, procurement, project-management, or operational responsibilities.

9. Acceptable use

You must use MorrnIx lawfully and only for legitimate business purposes.

You must not:

• use the Services for unlawful, fraudulent, deceptive, abusive, or harmful activity;
• attempt to gain unauthorized access to another customer's information, accounts, systems, data, or infrastructure;
• interfere with or disrupt the Services or their security mechanisms;
• reverse engineer, decompile, disassemble, or attempt to discover source code or underlying models except where applicable law expressly permits such activity;
• bypass access controls, usage limits, or security measures;
• introduce malware, malicious code, or harmful content;
• use the Services to infringe intellectual property, privacy, confidentiality, or other rights of another person;
• impersonate another person or organization or upload information you are not authorized to provide; or
• use automated means to access the Services in a manner that materially burdens or interferes with the Services unless expressly authorized by MorrnIx.

10. Subscription, fees, and payment

Paid MorrnIx access is provided on a subscription basis. A customer's subscription may be monthly or annual, depending on the plan or commercial arrangement agreed with MorrnIx.

The applicable subscription price, billing interval, included service, and any customer-specific commercial terms are communicated before the paid subscription begins.

MorrnIx currently uses PayPal as a payment provider. Other payment providers or payment methods may be introduced in the future.

Payment information may be processed by the applicable payment provider. MorrnIx does not need to receive or store your full payment-card credentials in order to provide the subscription service.

11. Subscription renewal and cancellation

Monthly and annual subscriptions may renew automatically for another billing period unless the customer cancels the subscription before the next renewal.

Customers may cancel future renewal of their subscription using the cancellation method made available by MorrnIx or by contacting MorrnIx at hello@morrnix.site.

When a customer cancels a paid subscription, access normally remains available until the end of the period that has already been paid for. Cancellation prevents the subscription from renewing for a subsequent period.

12. Customer data and confidential information

Customers retain their rights in information and materials they provide to MorrnIx, subject to the rights necessary for MorrnIx to provide, secure, maintain, support, and improve the Services.

Customer procurement information may include commercially sensitive information concerning projects, purchasing activity, suppliers, material requirements, schedules, commitments, and business relationships.

MorrnIx does not sell customer procurement information as a commercial data product.

The handling of personal information is governed by the MorrnIx Privacy Policy.

13. Privacy and data processing

Personal information processed through the Services is handled in accordance with the MorrnIx Privacy Policy and, where applicable, a customer agreement or data-processing agreement.

Depending on the circumstances, MorrnIx may process information for its own business purposes or on behalf of a customer.

Customers are responsible for providing any notices and obtaining any permissions or authorizations required for information they provide to MorrnIx.

14. Intellectual property

MorrnIx and its licensors retain all rights in the MorrnIx software, website, product design, interface, branding, documentation, technology, methodologies, and other materials provided by MorrnIx.

Subject to these Terms and payment of applicable subscription fees, MorrnIx gives the customer a limited, non-exclusive, non-transferable right to access and use the service for its internal business operations during the applicable subscription period.

You may not copy, modify, distribute, resell, sublicense, reverse engineer, or attempt to extract the underlying source code or proprietary technology of the service except where applicable law expressly permits it.

15. Third-party services and integrations

MorrnIx may rely on third-party infrastructure, payment providers, communications services, hosting providers, or integrations to operate parts of the Services.

Third-party services are subject to their own terms and policies. MorrnIx is not responsible for the independent operation, availability, security, or policies of third-party services outside MorrnIx's reasonable control.

Where a customer enables or directs an integration, the customer is responsible for configuring it appropriately and ensuring that it has the necessary authorization.

16. Service availability and changes

MorrnIx aims to keep the service available and operational, but no internet-based software service can be guaranteed to operate continuously or without interruption.

Service availability may be affected by maintenance, upgrades, security measures, infrastructure providers, integrations, internet connectivity, third-party services, technical failures, or circumstances outside MorrnIx's reasonable control.

MorrnIx may modify, improve, suspend, or discontinue features of the Services as the product develops.

Unless a separate written service agreement states otherwise, these Terms do not create a guaranteed uptime percentage or service-level agreement.

17. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

MorrnIx does not warrant that the Services will identify every procurement issue, supplier delay, material shortage, communication issue, or project impact.

MorrnIx does not warrant or guarantee supplier performance, material availability, delivery dates, project completion dates, procurement savings, or the outcome of any decision made using the Services.

Procurement outputs, alerts, risk signals, calculations, predictions, summaries, and recommendations are provided for decision support and may contain errors, omissions, delays, or incomplete information.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded or limited.

18. Limitation of liability

To the extent permitted by applicable law, MorrnIx will not be responsible for indirect, incidental, consequential, special, or punitive losses arising from the use of, or inability to use, the Services.

This includes losses arising from construction delays, supplier failures, missed deliveries, procurement decisions, schedule impacts, business interruption, lost profits, lost contracts, claims, or other project outcomes that are not directly caused by a failure of MorrnIx to provide the agreed service.

Any liability cap or other commercial limitation agreed in a signed customer agreement will apply to the extent provided in that agreement.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

19. Suspension and termination

MorrnIx may suspend or restrict access where reasonably necessary to protect the Services, customers, security, or infrastructure, or where the customer materially breaches these Terms.

MorrnIx may also suspend or terminate access where reasonably necessary because of non-payment, misuse, security risk, legal requirement, or circumstances that materially threaten the Services or other users.

Customers may terminate their use of the Services in accordance with their applicable subscription or customer agreement.

Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitations of liability, and obligations concerning accrued amounts, will survive termination.

20. Governing law, changes, and contact

These Terms are governed by the laws of India, without regard to conflict-of-law principles, subject to any mandatory rights or requirements that apply under applicable law.

MorrnIx may update these Terms as the Services, business model, technology, or legal requirements change. The effective date at the top of this page indicates when the current version became effective.

Meaningful changes affecting active customers may be communicated through the Services, website, email, or another appropriate method where required.

If any provision is found to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
